    Abstract: 本研究探討經理人能力與公司治理機制之關係，研究其於併購時，對目標公司選擇之偏好，以及對股東財富之影響。在目標公司選擇方面，本研究探討，由能力高之經理人領導的併購公司，其是否傾向購併公司治理機制較強之目標公司。在股東財富方面，本研究探討，由能力高之經理人領導的併購公司，其是否能夠因為所選擇之目標公司的公司治理機制程度，而取得綜效。
