Abstract:	營業秘密作為現今企業競爭的核心，其重要性不言而喻。本論文旨在透過國內外營業秘密案例分析，深入探討營業秘密的相關議題。首先，根據營業秘密的三要素，即秘密性、經濟性和保密措施，分別進行詳細討論，旨在從不同角度理解營業秘密的定義和應用。其次，回顧我國營業秘密法的立法沿革，深入探討修法的歷史背景和促成因素。通過這些歷史回顧，更好地理解我國在營業秘密保護方面的法律演變及其重要性。此外，本文特別關注金融機構的營業秘密保護問題，探討其在公司治理中的角色和作用。金融機構作為重要的經濟體系，其營業秘密保護不僅關係到自身的競爭力，還影響到整個金融市場的穩定性和健康發展。同時，本文也將公司治理與營業秘密保護結合起來進行探討，從而進一步理解企業的營運環境和風險管理。良好的公司治理不僅有助於企業提升管理效率和透明度，還能夠有效保護營業秘密，防止內外部風險。此外，本文將比較公部門與私部門在營業秘密保護方面的不同措施，探討其各自的優劣勢以及適用情境。公部門和私部門在保護營業秘密方面有不同的側重點和策略，通過比較分析，可以為企業提供多樣化的借鑒和參考。綜上所述，本論文旨在通過多角度、多層次的分析，全面探討營業秘密保護的各個方面，為企業在激烈的市場競爭中提供有效的策略和建議，並為政策制定者提供理論支持和實踐依據。希望本文的研究能夠對企業和相關機構在營業秘密保護方面有所啟示，促進企業的持續發展和競爭力提升。 Trade secrets, as the core of modern corporate competition, are undeniably significant. This thesis aims to delve into various aspects of trade secrets through an analysis of both domestic and international cases. Firstly, it discusses trade secrets based on the three essential elements: secrecy, economic value, and reasonable measures to maintain secrecy, providing a detailed examination from different perspectives to understand the definition and application of trade secrets. Secondly, it reviews the legislative history of the Trade Secrets Act in our country, exploring the historical context and factors that prompted amendments to the law. By looking back at these legislative developments, we can better comprehend the evolution of trade secret protection in our country and its importance. In addition, this paper focuses specifically on the protection of trade secrets within financial institutions, examining their role and function in corporate governance. Financial institutions, as key components of the economic system, have trade secret protections that are crucial not only to their competitiveness but also to the stability and healthy development of the entire financial market. In summary, this thesis aims to comprehensively explore various aspects of trade secret protection through multi-angle and multi-level analysis, providing effective strategies and recommendations for companies in the fiercely competitive market. It also seeks to offer theoretical support and practical references for policymakers. The research hopes to shed light on trade secret protection for enterprises and related institutions, promoting sustainable development and enhancing competitiveness.
