Abstract:	本計畫將系統性整理當前美國、日本及我國控制股東對少數股東從事壓迫行為之各種類型及彙整司法實務之重大爭議，並參考美國及日本之公司法制對於壓迫行為所建構之事前制衡機制及事後救濟機制，進而提出符合我國經濟社會環境之規範模式及具體個案之紛爭解決原則。本研究之成果，一則可解決公司經營上控制股東對少數股東所從事壓迫行為之實務爭議，落實股東間之實質平等原則，提升公司治理之水平；二則可完善控制股東之權力抑制設計，提供經濟部及金融監督管理委員會未來修正公司法及金融法制之重要參考；三則可累積我國公司法制之研究資料，對我國未來之學術發展具有重大之實質價值。
